Terms of Service

1. Acceptance of Terms

By accessing or using the Auctra authorization infrastructure service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

Auctra provides real-time authorization infrastructure for AI agents and automated transactions. The Service includes:

• Authorization decision API (<50ms response time)
• Policy management and template system
• Agent and instrument enrollment
• Audit logging and reporting
• Dashboard and management portal

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use
• Be at least 18 years old and have authority to bind your organization

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Share API credentials or violate rate limits
• Use the Service to process transactions you do not have authority for

5. API Usage and Limits

• Rate Limits: 1,000 requests/minute for standard plans, 10,000 requests/minute for authorization endpoints
• Uptime SLA: 99.9% monthly uptime with financial credits for breaches
• Support: Email support for all plans, phone support for enterprise
• Breaking Changes: 90-day notice for deprecation of API endpoints

6. Fees and Payment

• Fees are based on your selected plan and usage volume
• Payment is due monthly in advance unless otherwise agreed
• Late payments may result in service suspension
• Fees are non-refundable except as required by law
• We may change fees with 30 days' notice

7. Data Ownership and Privacy

You retain ownership of all data you submit to the Service. By using the Service, you grant us a license to process your data solely to provide the Service. We will:

• Process data according to our Privacy Policy
• Implement appropriate security measures
• Not use your data to train AI models or for advertising
• Return or delete data upon request, subject to legal requirements

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or meet your specific requirements. Authorization decisions are based on the policies you configure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUCTRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Auctra from any claims, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Term and Termination

• These Terms remain in effect until terminated
• You may terminate by closing your account
• We may suspend or terminate for violations of these Terms
• Upon termination, your right to use the Service ceases immediately
• Provisions that should survive termination (payment, liability, etc.) will continue

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved through binding arbitration in San Francisco, California, except you may bring claims in small claims court.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or the Service. Continued use after changes constitutes acceptance of the modified Terms.
